We are updating our Terms of Use, Privacy Policy, and Notice of HIPAA Privacy Policies (we’ll refer to these as our “Member Agreements”). These changes will go into effect for existing members on May 20, 2025. For members that enroll on or after May 13, 2025, these terms will take effect immediately.
We encourage you to read the full versions of these agreements linked above, but we also wanted to answer some of your anticipated questions below.
What have you changed in the Member Agreements?
Here is an overview of the key changes to our agreements:
Terms of Use
- We have added in more fulsome text messaging communication terms for those members who engage with us through SMS or MMS. While Omada does not market its programs via SMS or MMS, we are planning to make it easier for interested members to enroll by sending an app download link or landing page URL through SMS. In all cases, Omada will only send SMS where you expressly consent to that communication or as otherwise permitted by law.
- Omada will be launching new features that leverage the power of language learning models and generative artificial intelligence, including OmadaSpark - a conversational AI agent, with a goal of enhancing the member experience and supporting the human-led care our coaches provide. For that purpose, we have added terms that govern your use and interaction with Omada’s generative AI features.
- We clarified that if you choose to use features on your phone like the voice dictation that comes with it, you are responsible for evaluating, installing and using those features, not Omada.
- The Omada program may be offered in your prescription drug benefit program, or your employer may offer and pay for Omada as one step in their utilization management or prior authorization programs. We have clarified in our terms of use that Omada is ultimately not responsible for any prior authorization decisions. If you do not want to participate in the Omada program and want this type of requirement waived, only that entity (your PBM, insurance company, or employer) can give you such a waiver.
- We updated the information on how, when you want to participate in an Omada program, you can get language assistance if your primary language is not English, and also how to ask for reasonable accommodations for a physical or intellectual disability.
Privacy Policy
- We updated our Privacy Policy to account for the data you disclose to us when you interact with one of our AI Tools, and other clarifications that our use of AI does not change fundamental features of our privacy practices such as

- We do not share your personal information with developers of large language models for their improvement of their own models or otherwise for their own purposes.
- We maintain the same privacy and security standards we’ve always used for our programs, even when AI tools are in use.

- We’ve further updated our privacy policy throughout to address the most recent state-specific legal requirements for consumer privacy where applicable. We have advised users located in certain jurisdictions how they can exercise new rights available to them, via a link to our State Specific Supplemental Notice.
- Omada remains firm in its commitment not to sell or rent personal information and not to share personal information with third parties for their own purposes except where authorized by the member or by applicable law.
Notice of HIPAA Privacy Practices
- We updated our HIPAA notice to add that when Omada lawfully discloses PHI to another covered entity or its business associate, we will obtain an appropriate attestation that the recipient of this data will not use it for an impermissible purpose.
- We have added a statement affirming that Omada will not share your personal information with developers of large language models for their improvement of their own models or otherwise for their own purposes.
Who do these agreements apply to?
These member agreements apply to members in all of Omada’s programs: Omada for Prevention and Weight Health, Omada for Diabetes, Omada for Hypertension, and Omada for Joint and Muscle Health. Some of these terms also apply to individuals who simply visit and interact with our website.
When do these changes take effect?
These changes will go into effect for existing members on May 20, 2025. For individuals simply visiting our website and for members that enroll on or after May 13, 2025, these terms will take effect immediately.
What do I need to do?
You are not required to take any action. By continuing to use our services on or after May 20, 2025, you agree to our updated Terms of Use, Privacy Policy, Notice of HIPAA Privacy Practices and, to the extent applicable to you, Consent to Telemedicine Services.
What if I don’t want to agree to these updates?
Agreement to and adherence with our Member Agreements is a condition of participation in our programs. If you are an existing member and do not agree with these changes, you may begin processes to close your account.
How do I close my account?
If you would like to cancel your account for any reason, please send our member support team an email at support@omadahealth.com.
Can you delete my data?
By law, we cannot delete the data that we have about our members. Omada is a health care service provider, and legally we operate just like a doctor's office. As such, we are legally required to retain the data we collected from you as a business record for purposes of data privacy and of record keeping standards. Even when stored as a business record, we continue to keep this information private and secure as the Health Insurance Portability and Accountability Act (HIPAA) requires us to do. These rules apply even if you no longer participate in an Omada program and even if you applied, but the program was not clinically appropriate for you.
In fact, because HIPAA applies to us, your data is protected in many ways that might not apply to a wellness app that you access through social media, in an app store, or that is pre-installed on your smartphone (if you use one). HIPAA obligates us to safe-keep the data we preserve about you and also strictly limits how we can use that data. As we’ve made clear in our Privacy Policy, we do not sell data from those who apply to or participate in our program. Nor do we let third parties use social media or apps to access data we have custody of from our members or former members.
